Terms of Service

These Terms of Service ("Terms") govern your access to and use of AI Lab Services, a software-as-a-service laboratory information management system ("Platform") operated by BRS Lab Services ("we," "us," or "our"), 45260 Indian Creek, Canton, Michigan 48187. By subscribing to or accessing the Platform, you ("Subscriber" or "you") agree to these Terms.

1. Subscription and Access

AI Lab Services is offered on a subscription basis. Your subscription grants you a non-exclusive, non-transferable right to access and use the Platform for your internal laboratory operations during the subscription term. Subscriptions are per-tenant and may not be shared across unaffiliated organizations.

2. Acceptable Use

You agree to use the Platform only for lawful laboratory management purposes. You may not: (a) resell or sublicense access to the Platform; (b) reverse engineer or attempt to extract source code; (c) use the Platform to store or transmit malicious code; (d) interfere with the security or integrity of the Platform or other tenants' data.

3. Data Ownership

You retain full ownership of all laboratory data, client records, and results you enter into the Platform ("Your Data"). We do not claim any ownership of Your Data. You grant us a limited license to host and process Your Data solely to provide the Platform services to you.

4. Data Security and Isolation

The Platform is architected as a multi-tenant system with strict data isolation between tenants. Your data is encrypted at rest and in transit. We implement access controls, audit logging, and regular security reviews. No employee of BRS Lab Services may access Your Data without explicit authorization from your account administrator, except as required for technical support or as required by law.

5. Subscription Fees and Billing

Subscription fees are charged according to the plan selected at signup. Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in your service agreement. We reserve the right to adjust pricing with 30 days' written notice.

6. Service Availability

We target 99.5% uptime for the Platform, excluding scheduled maintenance windows. Scheduled maintenance will be communicated in advance where possible. We are not liable for downtime caused by third-party infrastructure providers, force majeure events, or your own network issues.

7. Termination

Either party may terminate the subscription with 30 days' written notice. Upon termination, you may export Your Data in a standard format within 30 days. After that period, Your Data will be securely deleted from our systems. We may suspend or terminate your access immediately for material breach of these Terms.

8. Limitation of Liability

To the maximum extent permitted by law, our liability for any claim is limited to the fees paid in the three months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of data or business interruption.

9. Governing Law

These Terms are governed by the laws of the State of Michigan. Disputes shall be resolved in the courts of Wayne County, Michigan.
